Whereas Code REDD, a US non-profit, with EIN 81-4444414, registered address 242 Redwood Highway, Mill Valley, California 94941, USA, (‘the Service Provider’); and

Whereas Stand For Trees (‘SFT’)  is a website operated by Code REDD (‘CR’) and Meta Carbon Inc (Meta Carbon), as well as a community whose mission is to support and scale REDD+ and other forestry and biodiversity projects which empower people, preserve forests, protect wildlife, and reduce emissions; and

Whereas the supplier (‘The Supplier’) is a carbon project developer and wishes to supply carbon offsets to Stand For Trees for sale on its website, through it’s APIs and its partners.  The Supplier would like to become a member of Stand For Trees with its standard membership benefits.

Supplier Membership Benefits
Project membership entitles each project to a listing on the Stand For Trees (‘SFT’) e-commerce platform, and all its available functionalities, these currently include;

• • Standard SFT platform (English & Spanish websites)
  • An individual project website including sale of additional assets including things like biodiversity credits, animal and other donation tools (available upon request)
  • Affiliate Programs, personal and business Footprint Calculator
  • Sustainability Badging Program
  • Access to brands looking to collaborate on advertising campaigns
  • Promotion of supplier’s projects through Stand For Trees marketing efforts

Supplier Membership Fee:

• Standard Membership Fee: $10/month.  These fees will be waived 100% for a minimum of 2 years for any member setting up their account before Dec 31, 2023.

 Supplier Payment Terms

• Sales reports within 25 days of the end of each month which will include:
  • The Supplier’s total sales and revenues
  • The Supplier’s total sales and revenues for the SFT Website
  • Client’s individual sales and revenues by affiliate code
  • Clients total OTC Sales
  • Commission calculations on all items
  • Payment within 30 days of the end of each month

Credit Arrangements & Sales Commission

The following tables list the, prices, sales commissions, and costs associated with sales on the Stand for Trees website, OTC Sales by the Stand for Trees or Meta Carbon employees, and for sales transacted on the Meta Carbon and Meta Carbon Affiliated websties:

i)       Sales on the Stand For Trees website (generally less than 100 tonnes):

ii)       Stand For Trees OTC (Over The Counter) sales (generally less than 10,000 tonnes):

iii)      Sales transacted on Meta Carbon and other affiliate websites
(generally less than 100 tonnes):

iv)     Sales on the Member or Supplier’s own Website or through its affiliate link to SFT:

Registry Account Requirements

• All credits must be registered with the Verra Registry.
• Minimum account setup amount is 1,000 tonnes.  Carbon can be added in increments thereafter as it is sold.
• Credits to be sold on consignment must be transferred to the Stand For Trees Verra Account:

• All credits shall be earmarked and designated as belonging to the supplier in the Stand For Trees carbon management dashboard.

 

Administrative Account Setup

• The Stand For Trees website is built on the Meta Carbon Cloud platform.  This arrangement is facilitated by an agreement between Meta Carbon, Stand For Trees, and Code REDD.  All suppliers will be required to maintain an account with Meta Carbon which can be accessed and/or set up here: https://cloud.meta-carbon.com/#/login

• A monthly sales report will be provided to the Supplier in the Meta Carbon Dashboard:
  https://MCCloud.meta-carbon.com

• The Supplier will pay all maintenance and transaction costs related to their Verra account. With such arrangements being between the Client and Verra directly.  

Code REDD Supplier Code of Conduct Representation:  The Supplier represents that its carbon offset project meets the following criteria:

• The project is verified as a REDD+ under the Voluntary Carbon Standard
• The project is verified, and has achieved at least one Gold level award, under the Climate Community & Biodiversity Standard
• The project does not include any commercial hunting activities
• The project does not include any commercial forestry activities* 
• If at any future point the Client does not meet the Code REDD Code of Conduct, the Client will immediately inform the Service Provider, and will endeavor to provide as much forward warning as possible that this may become the case.
• If at any future point the Code REDD Code of Conduct changes, the Service Provider will immediately inform the Service Provider, and will endeavor to provide as much forward warning as possible that this may become the case.

*An exception may be applied for in the case of low impact, sustainably certified logging activities. Upon provision of additional information requested by the Code REDD, such an exception is on a case by case basis and at the discretion of the Code REDD.

 

Term, Termination & Amendment

• With 5 business days notice, The Supplier may request the return of the balance of consigned credits unsold by Code REDD up to that point. The credits will be released back to the Client’s Verra account
• This Agreement shall commence on the date it is accepted and submitted and shall continue until terminated by either party providing not less than 30 days written notice.
• This contract will continue on a multi-year basis unless either party gives notice.
• Terms may be amended by mutual agreement. 

Intellectual Property Rights

• All intellectual property rights of The Supplier  associated with the carbon provided under this Agreement shall remain the property of the Supplier, unless otherwise agreed in writing.
• The Supplier hereby sublicenses the use of the Photos and Media currently on the Stand For Trees website for marketing and informational purposes.

Confidentiality

• Each party agrees to keep the other party’s Confidential Information confidential and to use it strictly for the performance of this Agreement.
